Juris Doctor or Masters degree or foreign equivalent with coursework covering Mergers Acquisitions, Restructuring and Bankruptcy and two 2 years of financial restructuring experience. Alternatively would accept a Bachelors degree in Economics, Business Administration, Finance, or related, plus 5 years of progressively responsible financial restructuring experience at the Analyst or Associate level. Experience to include Representing of chapter 11 debtors, including contested issues around valuation; Representing of buyers, companies, and lenders in both 363 sales and outofcourt sales; Drafting deal documentation for debt offerings and new equity issuances; Advising clients on liability management, restructuring, capital raising and distressed acquisition transactions across various industries; Performing industry research on potential candidates for restructuring, including assessing debt documents and other information to identify potential opportunities for incourt and outofcourt restructurings; Performing valuation and merger consequence analyses using comparable public company, comparable transaction, discounted cash flow, leveraged buyout and merger analyses, debt capacity, valuation, recapitalization and recovery, as well as analyzing and negotiating credit agreements and indentures.
