Four 4 years of experience advising on taxrelated matters in connection with a variety of transactions including MA, divestitures, partnership transactions, spinoffs, structuring and reorganizing business entities, taxoriented financings, joint ventures, real estate transactions, forming and operating holding companies, compensation, tax credit transactions, and crossborder transactions. Prior experience must include four 4 years of counseling clients on various international tax issues including subpart F, global intangible lowtaxed income, base erosion antiabuse tax, overall foreign loss, outbound transfers, and Section 367 gain recognition agreements; developing optimal tax structures for corporate restructuring, corporate reorganization, and merger and acquisition; utilizing CCH, BNA, Lexis Nexis and RIA Checkpoint to research complex U.S. federal income tax issues; analyzing double taxation treaties to determine their effect on U.S. and foreign withholding taxes; drafting tax technical memoranda on topics including, Subpart F income, Section 351 contribution, Section 355 spinoff, Section 332 liquidation, Section 368 reorganizations, partnership transactions, transfer of intangibles and debtequity characterization of intercompany loans.
