Specific Skills

Two 2 years of experience representing issuers, underwriters, security holders and purchasers on domestic and international capital markets transactions, including public and private offerings of equity including initial public offerings, highyield and investment grade debt securities, exchange offers, tender offers, consent solicitations, and bridge and acquisition financing commitments within the Financial Services, Biotechnology, Natural Resources, Gaming and Entertainment, and Internet and ECommerce sectors. Prior experience must include at least two 2 years of experience drafting principal transaction documents, and communicating with clients, the stock exchange, and all transaction parties; performing legal research and drafting legal memoranda on a wide range of transactional and securities lawrelated issues; negotiating high yield covenant packages for first time issuers and analyzing existing high yield covenant packages for proposed transactions; advising companies on spinoff transactions and associated high yield debt financing; advising on corporate governance and securities laws matters, including ongoing disclosure requirements, insider dealing and blackout periods, financial staleness dates, share buybacks, and monthly and annual financial reporting; and advising on derivatives and financial products, including convertible notes and structured products.
