Specific Skills

The position requires a Juris Doctor Doctor of Law degree, or foreign equivalent, plus three 3 years of experience in the job offered or a related field. The position also requires experience with each of the following Fund formation and structuration with specific experience with Tech Private Investment Funds; Regulatory compliance and managing client and counsel relationships; Demonstrable understanding of Sections 202222 of the U.S. Investment Advisers Act and regulations promulgated thereunder, and demonstrable experience with the application of those rules to investment advisers; Demonstrable knowledge and experience with private placements under the U.S. Securities Act of 1933, and Regulation D and other regulations promulgated thereunder; Demonstrable understanding of the Delaware Revised Uniform Limited Partnership Act and Limited Liability Company Act; Demonstrable understanding of the Securities Exchange Act of 1934, in particular Sections 13 and 16 thereunder, and regulations thereunder; and Demonstrable experience modeling partnership distribution rules in Microsoft Excel. The position also requires admission to the bar in Massachusetts, New York, Washington DC, or California.
