Specific Skills

Our minimum requirements for this position are a Juris Doctor J.D. or Master of Laws LL.M. degree, or foreign equivalent. The individual must also be a member of the New York State Bar and have five years of legal experience in debt finance transactions. The required experience must includebr br Five years in advising leveraged buyout transactions, including sell and buyside representation, financing transactions related to initial public offerings, refinancings restructurings, leveraged finance, and other strategic transactions with large cap and middle market private equity firms.br br Five years in representing private equity firms and their portfolio companies, negotiating the financing for acquisitions, strategic add on transactions, dividend recapitalizations including both recapitalizations at the operating company and holding company level, and out of court restructurings and recapitalizations.br br Five years in drafting and negotiating of the following types of documents cash flow and asset backed revolvers, term loan, split collateral and firstsecond lien credit agreements; note purchase agreements for mezzanine and holding company notes; high yield bond indentures and offering memorandums including specifically descriptions of notes; bridge facilities; commitmentengagement letters and term sheets; security; guarantee, intercreditor; and subordination arrangements for senior, subordinated and mezzanine financings.br br Five years in negotiating definitive documentation and commitment lettersengagements across major bank arrangers and bond underwriters.br br The five years of legal experience in debt finance transactions must also includebr br Four years of experience negotiating financing provisions in purchase and sale agreements including merger agreements.br br Four years of experience in successfully managing teams of colleagues to effectuate corporate transactions.br br Four years of experience supervising the work of junior associates.br br Two years of experience serving as the primary point of contact for clients, outside advisors and opposing counsel in finance transactions and independently overseeing such finance transactions.br br Other requirements must pass a full criminal history background check.
