Prior work experience must include three 3 years of experience with Masters degree or five 5 years of experience with Bachelors degree with Structuring, analyzing and executing transactions in excess of 1bn on behalf of companies in the technology, media and telecom industry; Performing valuation analyses for companies in the TMT sector, including discounted cash flow analysis, leveraged buyout analysis, accretiondilution and abilitytopay analysis, public trading comparables, precedent transactions, and sumoftheparts analysis; Executing financing transactions in excess of 100 million including IPOs, equity offerings, and debt offerings; Engaging in dialogue and liaising with other senior bankers, clients, and product experts to execute projects, provide updates and prepare presentation materials as it relates to equity and debt underwriting and mergers and acquisitions; Consulting with tax and legal experts to determine appropriate structuring for financing and mergers and acquisitions; Managing live deal execution, including running due diligence processes, negotiating nondisclosure agreements and other legal documents with lawyers and potential buyers, organizing and attending deal and nondeal roadshows, and liaising with investment banks; Supervising, guiding and coordinating junior professionals work product, including reviewing financial modeling work and presentations prepared for live deals, corporate board meetings, investment banking pitches and client service projects on corporate finance topics; Advising clients including public and private corporates and private equity firms with enterprise values in excess of 1 billion; Developing relationships with key decision makers CLevel executives at investment banking clients; and Presenting to CEO CFO level corporate clients in the technology, media and telecom sectors on topics such as strategic alternatives, capital markets activities, restructuring alternatives and corporate governance issues at board meetings and pitches and on conference calls. FINRA Series 79 required. Travel required domestic and international approximately 20 to visit clients and attend industry meetings.
