This position requires three 3 years of experience with the following skills drafting and reviewing NDAs, term sheets, offer letters, stock purchase agreements, financing agreements, and fairness opinions; preparing marketing materials including Teasers, Information Memoranda, Management Presentations, and Investor Relations presentations as part of a sale transaction; assessing ratings implications in MA transactions and pro forma impact on shareholder base; working with clients on MA financing solutions, including revolving credit facilities, bridge loans, term loans, high yield, convertible bonds, and assetbacked products, private placements, and rights issues; building financial models including threestatement operating models, threestatement merger modelling, combined pro forma models, and spinoff and divestiture models; MS Excel; and MS Powerpoint. This position requires three 3 years of experience performing MA analyses, including intrinsic value creation analyses; marketbased value creation analyses, exchange ratio analysis; contribution analysis; abilitytopay analysis; analysis at various prices; and internal rate of return. This position requires three 3 years of experience with financial modelling, valuation, and analytics including all of the following dividend discount models DDMs; adjusted present value; EVA; present value of future stock prices; DCF; LBO; trading comps; precedent transactions; accretion; dilution; and value creation analysis. This position requires up to 20 domestic and international travel for client meetings.
