Specific Skills
Three 3 years of experience managing high profile and complex MA transactions and supervising multiple deal team members working on transactions. Prior experience must include three 3 years of advising on MA and other corporate transactions including restructuring and leverage finance transactions, as well as schemes of arrangement, mergers, and stock purchases; providing English legal advice to U.S.based clients in relation to MA transactions; drafting and negotiating complex transaction documents in connection with large and consequential MA transactions; advising a wide range of U.K, U.S. and multinational corporations on a range of public and private mergers and acquisitions and other associated corporate transactions including leveraged finance transactions; preparing disclosure documentation and overseeing transactions involving U.S.based clients that are subject to English corporate law, including the U.K. Takeover Code and Listing Rules, and applicable securities laws and stock exchange rules; and providing corporate legal advice for complex crossborder MA transactions including conflicts between different legal regimes.
