Prior work experience must include three 3 years with Masters degree or five 5 years with Bachelors degree of experience with Structuring, analyzing and executing transactions on behalf of companies in the Consumer and Retail space valued in excess of 500mm; Leading MA transaction executions, including deal origination, information memorandum preparation, strategic and financial partner approach strategies, valuation and combination analyses, transaction negotiation and fairness opinions and Board presentations; Presenting to CEO CFO level corporate clients in Consumer and Retail sectors on topics such as strategic and MA alternatives, capital markets activities, restructuring alternatives and corporate governance issues at board meetings and pitches and on conference calls; Managing live deal execution, including running due diligence processes, organizing and attending management presentations and deal and nondeal roadshows and liaising with other investment banks and client advisors; Negotiating nondisclosure agreements and other legal documents with lawyers, potential buyers and other potential counterparties; Executing detailed analysis of the pro forma impact of debt, equity and other capital issuances, acquisitions, spinoffs, divestitures, and changes in capital allocation policies including dividend and share repurchases; Performing extensive financial and business due diligence, including interviewing senior management, inspecting product sites, reviewing strategic operating plans and analyzing historical and projected financial performance; and Leading, managing, mentoring and training multiple teams of associates and analysts. FINRA Series 79 license required. Travel required to visit clients approximately 20 of total.
