Four 4 years of experience providing legal advice and representation to clients on corporate mergers and acquisitions involving public and private companies and private equity transactions, minority investments, joint venture arrangements, crossborder reorganizations, and general corporate matters. Prior experience must include four 4 years of negotiating and preparing share purchase agreements, asset purchase agreements, shareholder and joint venture agreements, investment agreements, commitment letters, escrow agreements, offer documents and public and stock exchange filings to affect acquisitions and sales of companies; advising on complex deals utilizing different structures in the pharmaceutical, healthcare, and industrials sectors and numerous jurisdictions including the U.S., Europe and Asia; conducting legal research for structuring of transactions, drafting of contracts and other legal documents; conducting legal due diligence of businesses being acquired or sold; assisting private equity portfolio companies with daytoday corporate compliance and governance matters; preparing securities law and regulatory filings, and communications with stock exchanges and regulators.
