Prior work experience must include two 2 years of experience with the following Working in an investment banking position in the real estate, gaming and lodging sector in a bulge bracket investment bank; Developing complex presentations and financial models using Microsoft Office Word, Excel and PowerPoint; Evaluating and executing real estate, gaming and lodging transactions, including MA transactions acquisition, divestiture, joint venture, and merger advisory; shareholder and antiraid defense advisory in excess of 1 billion for a consolidated MA transaction volume in excess of 10 billion of announced transactions, equity financings including IPOs, followon offerings and private placements in excess of 100 million, debt financings in excess of 1 billion, and other advisory on capital structure alternatives such as stock buybacks, special dividends, changes in dividend policy, recapitalizations, and use of corporate derivatives; Preparing documents including engagement letters and other legal documents for MA and financing assignments, marketing materials for sellside transactions such as teasers, confidential information memoranda, and management presentations, roadshow presentations and prospectuses for IPOs and other equity offerings, marketing materials for debt offerings, and publicly filed press releases and investor presentations; Performing financial and business due diligence, including interviewing senior management, examining real estate, gaming and lodging assets, reviewing strategic operating plans, reviewing legal documents, and analyzing historical and projected financial and operating performance; Liaising with financing, tax, and legal specialists to create appropriate deal structures; Performing valuation analyses, including discounted cash flow analysis, leveraged buyout analysis, accretiondilution models and abilitytopay analysis, public trading comparables, precedent transactions, and sumoftheparts analysis; Using financial services databases including SNL Financial,br Green Street Advisors and Capital IQ; analyzing regulatory filings, including 8ks, 10ks, and proxies, and Wall Street analyst research reports; Working closely with senior external internal executives in order to execute financial transactions; and executing two 2 to three 3 financial transactions concurrently in an investment banking setting.
