Juris Doctor degree, or foreign degree equivalent, and 10 years of experience as a real estate lawyer in a commercial real estate transaction practice involving ERISA, UBTI, REIT and union labor compliance, which includes experience with legal drafting and conducting negotiations on behalf of clients, involving multimember and multiclass joint venture agreements involving preferred return and IRR waterfalls, clawbacks and exit strategies and transfer restrictions, including buysell rights, putcall rights, quot;tag alongquot; or quot;drag alongquot; rights, rights of first refusal, rights of first offer and purchase options; purchase and sale agreements for vacant land, recently constructed property or improved property for all commercial real estate product types, including retail, office, industrial, medical office, multifamily and mixed use projects; agreements for mezzanine loans and participating loans; Construction contracts and architectural agreements including owner side negotiation using AIA forms; development agreements with incentive fee structures; Landlordside leases with Fortune 500 or nationally recognized office tenants including technology companies and national retail tenants, with experience drafting or negotiating provisions in agreements related to UBTI, REIT, union labor, property operations, sustainability and green building requirements; experience drafting and presenting CLE seminars and clientrelated educational seminars on real estate transactions, leasing and construction; and experience training associates and paralegals on real estate transactions, leasing and construction.br br Experience may be gained concurrently.
