Experience must include two years of analyzing companies financial data to identify historical and projected financial and operating trends, quality of earnings and working capital considerations, and potential liabilities and risks which impact valuation of the company; resolving issues in technical accounting areas, including US GAAP and SEC reporting, especially pertaining to business combinations, consolidations, sharebased compensation, revenue recognition, leases, intangibles, and financial instruments; evaluating companies historical and projected earnings and cash flows, hidden contingencies, commitments, and tax exposures, as well as quality of assets and internal control structure; creating and designing tailored reportsmemos specific to key issues, including valuation model input assumptions, purchase accounting considerations, and indebtedness considerations; and assisting with structuring purchase price adjustment mechanisms and other relevant projections in stock purchase agreements.
