Experience must include the following Advising and representing investment fund managers in relation to the structuring, formation, and operation of private investment funds, including private equity, infrastructure, venture capital and credit funds, including funds of one, separate managed accounts; Advising fund managers on carried interest, coinvestment, and other incentive arrangements, as well as on compliance matters, including exemptions under the Securities Act of 1933, AMLKYC requirements, federal and state filings, EU regulations, including the Alternative Investment Funds Directive and ESG policies; Drafting, reviewing, and advising on investment fund documentation including private placement memoranda and corresponding supplements, partnership and company agreements, investment management agreements, upper tier documents, side letters, comment memoranda, placement agreements, subscription documents, transfer agreements, term sheets, amendments to partnership agreements, most favored nation election forms, consents, investor letters, guarantees, opinions, resolutions, formation and winddown documents; Advising domestic and international sponsors in implementing various investment strategies and corporate transactions involving private investment funds; Advising French and other European investment fund managers expanding their investment fund operations in the US; Performing fund documentation review for institutional investors in relation to their primary investments; Assisting sponsors with operational, registration and regulatory compliance issues related to complex securities laws; and Reviewing and evaluating investment fund marketing, pitch, and performance materials.
