Five 5 years of progressively responsible experience in the job offered or related occupation representing corporate and financial institution clients in domestic and international debt finance transactions, including drafting, reviewing, negotiating and advising bank and corporate clients in connection with debt finance transaction documents; performing due diligence of debt finance transaction documents in connection with mergers and acquisition transactions; overseeing overall transaction andor individual workstreams in respect of debt finance matters representing issuerborrower and arrangerlender sides; supervising junior associates on deal teams regarding debt financing matters; drafting and reviewing security documentation and advising bank and corporate clients on multinational security packages on debt finance transactions; drafting, reviewing and advising bank clients in connection with legal opinions, with respect to underlying legislation and case law addressed therein; and drafting and reviewing corporate authorization documents and reviewing bylaws, certificates of incorporation, certificates and related documentation executed by corporate entities in connection with debt finance transactions. In the alternative, the employer will accept a Master of Laws L.L.M degree to satisfy the education requirement. Must be admitted to practice law in the State of New York.
