Three 3 years of experience advising clients on capped call and call spread overlays, margin loans, forward atthemarket offering programs and stock borrow facilities related to equitylinked capital market transactions and other equity derivatives. Prior experience must include three 3 years of drafting and negotiating documentation relating to equitylinked instruments, including hedging arrangements, swaps, forwards and warrants; drafting productspecific disclosure with respect to equitylinked securities offerings including convertible debt, preferred stock and equity unit issuances; analyzing indenture covenants to determine issuers capacity to issue new securities, create liens, sell assets, or engage in MA transactions; and working with ISDA documentation, equity derivatives, interest rate derivatives and foreign exchange derivatives, including the 1992 and 2002 ISDA derivatives documentation and other ISDA definitions.
