Prior experience must include four 4 years of experience assessing local law driven issues and risks arising in crossborder and domestic MA transactions in Latin America; advising on negotiated transactions, including mergers, stock and asset purchases, and transactions involving corporate control changes; preparing legal memoranda on corporate law matters and legal issues related to MA transactions; drafting, reviewing, and negotiating preliminary transaction documents, including term sheets, nondisclosure agreements, letters of intent, and memorandums of understanding; drafting, reviewing, and negotiating purchase agreements, shareholders agreements, escrow agreements, and ancillary documents; assisting clients with signing and closing activities related to MA transactions, including preparing signing and closing document sets, and providing assistance in connection with the wiring and receipt of funds; advising clients on MA postclosing matters, including contractual claims and enforcement of contractual rights; coordinating and conducting legal due diligence and risk management analysis; and applying and incorporating market dealpoints research during negotiations and into forms and guidelines for MA transactions.
