Prior experience must include two 2 years of experience with structuring leveraged finance products, including term loan, high yield, corporate acquisition financing, distressed financing, exchange and liability management solutions; building technical and complex dynamic financial models and analysis that include financing scenarios both debt and economic, pricing of debt and convertible securities, riskreturn dynamics using GAAP and nonGAAP or foreign equivalent principles, including cashflow based LBO models, three statement models, discounted cash flow analysis and comparable company analysis; working on a minimum transaction size of 100M for debt refinancings, new debt capital raises, leveraged buy outs and dividend recapitalizations, liability management tenders and exchanges, and restructuring of distressed balance sheets; conducting detailed financial, business, and legal due diligence on companies and assets including quality of earnings analyses; communicating with clients regarding the specific roles, timing, deliverables, and scope of work required for working for clients in leveraged buyout transactions in the TMT sector; reviewing and performing quantitative analysis based on complex legal documents such as credit agreements, debt indentures, commitment papers, fee letters or purchase and sale agreements; applying credit rating agency methodologies and calculating shadow ratings for new transactions; and applying leveraged lending Shared National Credit regulations to structure and size leveraged lending transactions. FINRA Series 79 and 63 required. Travel required approximately 20 of the time to meet clients, pitch presentations, conduct diligence, and perform site visits.
